1. Purpose of This Page
This Governing Law & Jurisdiction Clause is a standalone reference statement that consolidates and confirms the governing law and jurisdiction provisions applicable across the entire website codebitesolutions.com (the “Website”) and all services provided by Code Bite Solutions, having its registered office at Office 424, Pride Sapphire, Pandit Dindayal Upadhyay Road, opp. Golden Super Market, Sirvar Park, Kotecha Nagar, Rajkot, Gujarat 360001, India, and registered under Udyam Registration Number UDYAM-GJ-20-0215341 (“Code Bite Solutions,” “we,” “us,” or “our”). It applies to your use of the Website, your engagement of our website design and development, search engine optimisation, digital marketing, e-commerce solutions, and web hosting and maintenance services (collectively, the “Services”), and to each of our other published policies, including our Terms & Condition, Privacy Policy, Cookie Policy, Disclaimer, Acceptable Use Policy, End User License Agreement, Impressum, and CSR statement (collectively, the “Policies”).
This page is provided for clarity and ease of reference. Where any Policy contains its own governing law or jurisdiction provision, that provision remains valid and enforceable in its own right; this page does not override, replace, or diminish any such provision, but confirms that all such provisions are, and are intended to be, consistent with one another and with this page.
2. Governing Law
Code Bite Solutions is established, registered, and operates exclusively from Rajkot, Gujarat, India. We do not maintain any registered office, branch, subsidiary, or permanent establishment in any other country, notwithstanding that we provide Services to clients located in India and internationally.
Accordingly, the Website, all Services, all Policies, and any agreement, engagement, transaction, dispute, or claim of any nature whatsoever (whether arising in contract, tort, statute, or otherwise, and whether contractual or non-contractual) arising out of or in connection with your use of the Website, your engagement of our Services, or your relationship with Code Bite Solutions in any capacity, shall be governed by, and construed strictly in accordance with, the substantive laws of India, without regard to:
- Any conflict of law or choice of law principles that might otherwise direct the application of the laws of a different jurisdiction; and
- The country, state, or territory from which you access the Website, from which you engage our Services, in which you are incorporated or resident, or in which any effect of our Services is felt or experienced.
Where you are located outside India, you expressly acknowledge and agree that this choice of Indian law is a material term of your relationship with us, and that you enter into that relationship, including any payment made to us, with full knowledge of and agreement to this clause.
3. Exclusive Jurisdiction
Subject to Section 4 (Good-Faith Resolution) below, any dispute, controversy, or claim arising out of or in connection with the Website, the Services, any Policy, or your relationship with Code Bite Solutions, including any question regarding the existence, validity, interpretation, breach, or termination thereof, shall be subject to the exclusive jurisdiction of the competent courts located in Rajkot, Gujarat, India.
By using the Website or engaging our Services, you irrevocably:
- Submit to the exclusive jurisdiction of the courts located in Rajkot, Gujarat, India, for the resolution of any such dispute;
- Waive any objection you may now or in future have to such courts on the basis of inconvenient forum, lack of jurisdiction, or otherwise; and
- Agree that a judgment or order obtained from such courts shall be conclusive and binding on you, and may be enforced in any other jurisdiction to the extent permitted by the law of that jurisdiction.
This exclusive jurisdiction clause applies equally to individual clients, sole proprietors, partnerships, companies, and any other form of entity that engages our Services, regardless of the size or nature of that entity, and regardless of whether the engagement was confirmed by way of a signed agreement, an accepted proposal, a paid invoice, or any other form of written or electronic communication, as described in our Terms & Condition.
4. Good-Faith Resolution Before Litigation
Before initiating any formal legal proceedings, the parties agree to make reasonable, good-faith efforts to resolve any dispute through direct negotiation between the parties, for a period of not less than thirty (30) days from the date one party notifies the other in writing of the existence of a dispute. Nothing in this Section shall prevent either party from seeking urgent interim or injunctive relief from a competent court at any time where reasonably necessary to prevent irreparable harm, including in relation to the protection of confidential information or intellectual property rights.
5. Severability of This Clause
The governing law provision in Section 2 and the jurisdiction provision in Section 3 are each intended to be independently enforceable. If a court of competent jurisdiction determines that the jurisdiction provision in Section 3 is unenforceable for any reason in a particular case, this shall not affect the validity or enforceability of the governing law provision in Section 2, which shall continue to apply to the substantive resolution of the dispute in question, to the fullest extent permitted by applicable law.
6. International Clients — Acknowledgement
If you are engaging our Services from outside India, you specifically acknowledge that:
- You have read and understood this Governing Law & Jurisdiction Clause prior to engaging our Services or making any payment to us;
- You accept that pursuing any dispute against Code Bite Solutions will require you to do so in the courts of Rajkot, Gujarat, India, under Indian law, and you accept any inconvenience, cost, or inability to enforce a claim that may arise from this requirement; and
- This clause does not deprive you of any protection you are entitled to under any mandatory consumer protection or other law of your own country that cannot lawfully be excluded or overridden by agreement, to the extent such protection genuinely applies to your relationship with us.
7. Relationship With Other Policies
This Governing Law & Jurisdiction Clause is incorporated by reference into, and forms part of, each of our Terms & Condition, Privacy Policy, Cookie Policy, Disclaimer, Acceptable Use Policy, End User License Agreement, Impressum, and CSR statement. In the event any future Policy is published without its own explicit governing law or jurisdiction provision, this page shall apply to that Policy by default.
8. Changes to This Clause

The “Last Updated” date above indicates when this page was last revised. Any material change will apply prospectively from the date of publication and will not retroactively affect the resolution of a dispute that arose prior to that date.
