1. Introduction and Acceptance
This End User License Agreement (“EULA,” “Agreement”) is a legal agreement between you, whether an individual or a business entity (“User,” “you,” or “your”), and Code Bite Solutions, having its registered office at Office 424, Pride Sapphire, Pandit Dindayal Upadhyay Road, opp. Golden Super Market, Sirvar Park, Kotecha Nagar, Rajkot, Gujarat 360001, India (“Code Bite Solutions,” “we,” “us,” or “our”), governing your access to and use of any software, tools, browser-based utilities, plugins, templates, applications, or similar digital products made available by us through our website at codebitesolutions.com (the “Website”) or delivered to you in connection with our services (collectively, the “Software”).
BY ACCESSING, DOWNLOADING, INSTALLING, OR USING ANY SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS, DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
This EULA applies in addition to, and not in place of, our Terms & Condition and Privacy Policy, each of which continues to apply to your use of the Website generally. In the event of a direct conflict between this EULA and a separately signed client agreement or statement of work specifically covering custom-developed software delivered to you, the terms of that signed agreement shall prevail to the extent of the conflict.
2. License Grant
Subject to your continued compliance with this EULA, Code Bite Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software solely for your own internal personal or business purposes, in accordance with any documentation, instructions, or usage parameters we provide.
Where Software is made available for free, general use directly on the Website (such as a browser-based utility), this licence permits ordinary use of that Software as presented on the Website, for as long as we choose to make it available, and is granted free of charge unless otherwise stated at the point of access.
Where Software is delivered to you specifically as part of a paid client engagement (such as a custom-built tool, theme, or application developed for you), the scope of the licence, including whether it is exclusive, perpetual, or restricted to specific use cases, shall be as set out in the applicable signed agreement or statement of work. In the absence of any such written specification, the licence granted shall be limited to a non-exclusive right to use the delivered Software for your own internal business operations, and shall not include any right to resell, sublicense, or redistribute the Software to third parties.
3. Restrictions
Except as expressly permitted under this EULA or under applicable law that cannot be excluded by agreement, you shall not, and shall not permit any third party to:
- Copy, reproduce, distribute, republish, sell, rent, lease, sublicense, or otherwise transfer the Software, or any portion of it, to any third party.
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organisation of the Software, except to the extent such restriction is prohibited by applicable law.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on the Software.
- Use the Software to build a competing product or service, or for any purpose that directly or indirectly competes with Code Bite Solutions.
- Use the Software in any manner that violates applicable law, infringes the intellectual property or other rights of any third party, or is fraudulent, harmful, or malicious.
- Use any automated means, including bots, scrapers, or crawlers, to access or interact with the Software in a manner that imposes an unreasonable load on our infrastructure.
- Use the Software to transmit any virus, malware, or other harmful code, or to attempt to gain unauthorised access to any system, account, or network connected to the Software.
- Circumvent, disable, or otherwise interfere with any security-related or access-control features of the Software.
4. Ownership and Intellectual Property
The Software, including all associated intellectual property rights, source code, object code, design, structure, and documentation, is and shall remain the exclusive property of Code Bite Solutions or its licensors. This EULA grants you only a limited right to use the Software as expressly set out herein and does not transfer any ownership rights, title, or interest in the Software to you.
Where custom software is developed specifically for a client as part of a paid engagement, ownership of the final deliverable shall be governed by the applicable signed agreement or statement of work. In the absence of an explicit written assignment of ownership in such agreement, Code Bite Solutions retains ownership of all underlying frameworks, proprietary code libraries, methodologies, and reusable components used in the development of the Software, and grants the client a licence to use the final deliverable as set out in Section 2 above.
All trademarks, logos, service marks, and trade names displayed in connection with the Software are the property of Code Bite Solutions or their respective owners, and nothing in this EULA grants you any right to use them without our prior written consent.
5. Data Processed Through the Software
Where any Software processes data or files you input, the manner in which such data or files are handled (including whether they are transmitted to or stored on our servers, or processed entirely within your own device or browser) will be described on the relevant page of the Website or in accompanying documentation at the time the Software is made available. Where Software is described as processing your input entirely within your own browser or device without transmission to our servers, we do not collect, store, or have access to that input. This EULA does not itself constitute a description of our data-processing practices generally; please refer to our Privacy Policy and Cookie Policy for that information.
6. Third-Party Components
The Software may incorporate or rely on open-source components, libraries, or third-party services. Such components remain subject to their own applicable licences, and nothing in this EULA is intended to restrict any rights granted to you under such third-party licences, nor to grant you rights beyond what those licences permit. Where required, we will make reasonable efforts to identify material third-party components used in Software delivered to you.
7. No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
Where Software is delivered as a custom deliverable under a signed client agreement that includes specific warranty or support commitments, those commitments shall apply as set out in that agreement, in addition to, and not in place of, this Section, save to the extent of any direct conflict, in which case the signed agreement shall prevail.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODE BITE SOLUTIONS, ITS OWNER, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WHERE SOFTWARE IS PROVIDED FREE OF CHARGE DIRECTLY THROUGH THE WEBSITE, WITHOUT ANY REGISTRATION, PAYMENT, OR ACCOUNT CREATION REQUIRED, SUCH SOFTWARE IS PROVIDED PURELY AS A CONVENIENCE, AND CODE BITE SOLUTIONS SHALL BEAR NO LIABILITY WHATSOEVER, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FOR ANY LOSS, DAMAGE, MISUSE, OR CONSEQUENCE ARISING FROM YOUR USE OF SUCH SOFTWARE, INCLUDING ANY USE OF SUCH SOFTWARE FOR AN UNLAWFUL, HARMFUL, OR IMPROPER PURPOSE, RESPONSIBILITY FOR WHICH RESTS ENTIRELY AND SOLELY WITH THE USER.
WHERE SOFTWARE IS DELIVERED AS PART OF A PAID CLIENT ENGAGEMENT INVOICED BY US, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO US FOR THE SPECIFIC SOFTWARE OR ENGAGEMENT GIVING RISE TO THE CLAIM.
Nothing in this EULA excludes or limits any liability that cannot lawfully be excluded or limited under applicable Indian law, including liability for fraud or fraudulent misrepresentation.
9. Term and Termination
This EULA is effective from the date you first access or use the Software and shall continue until terminated as set out herein. We may suspend or terminate your licence to use the Software, with or without notice, if you breach any term of this EULA, if we discontinue the Software, or for any other reason at our discretion, including where continued provision of free browser-based tools is no longer commercially viable for us.
Upon termination, all rights granted to you under this EULA shall immediately cease, and you must discontinue all use of the Software and, where applicable, destroy or delete any copies of the Software in your possession. Sections of this EULA which by their nature are intended to survive termination (including Sections 4, 7, 8, and 12) shall survive.
10. Updates and Modifications
We may, at our discretion and without obligation, release updates, patches, or new versions of the Software from time to time, which may modify or discontinue certain features. We may also modify this EULA from time to time to reflect changes in the Software or applicable legal requirements, with the revised EULA effective from the date of publication on the Website, as indicated by the “Last Updated” date above. Your continued use of the Software following any such update constitutes your acceptance of the revised EULA.
11. Export Compliance and Legal Use
You agree to use the Software in compliance with all applicable local, state, national, and international laws and regulations, and represent that you are not located in, or a resident or national of, any jurisdiction subject to a government embargo or listed as a restricted or prohibited party under applicable law.
12. Governing Law and Dispute Resolution
This EULA shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions, regardless of the country from which you access or use the Software. The courts located in Rajkot, Gujarat, India, shall have exclusive jurisdiction over any dispute arising out of or in connection with this EULA, and you irrevocably submit to the jurisdiction of such courts.
13. Severability and Entire Agreement
If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable while preserving its original intent. This EULA, together with our Terms & Condition and Privacy Policy, and any applicable signed client agreement, constitutes the entire agreement between you and Code Bite Solutions with respect to your use of the Software, and supersedes all prior or contemporaneous understandings regarding such subject matter.
